Keyport Maker Program Terms & Conditions
Keyport is building a family of proprietary, patent-pending modular hardware ecosystems: the Versa modular ecosystem, the Keyport modular key organizer (Pivot, Slide, and modules), the Anywhere Tools modular multi-tool system, and future platforms we haven't announced yet.
We invest heavily in independent research, engineering, and product development across all of these systems. Many of the functional categories and product concepts you might think of are already part of our active roadmap.
The Maker Program exists to encourage personal experimentation and creative exploration within the Keyport platform. We provide compatibility templates so you can design and prototype your own ideas for personal use.
This is not open-source hardware. It is not an open manufacturing license. We retain exclusive manufacturing authority over our proprietary interface systems and modular standards to ensure safety, fit, durability, and long-term platform integrity.
If you want to build something for yourself, we want to make that possible. If you want to sell something commercially, that requires a separate conversation and a commercial license. We have a program for that, and we are genuinely interested in working with talented makers who want to go further.
From time to time, we may identify exceptional community-developed concepts that align with our ecosystem vision. In those cases, we will reach out to explore a licensing or collaboration agreement.
Our objective is clear: support creativity, maintain platform integrity, protect the ecosystem, and reward genuine innovation.
What follows are the formal Terms & Conditions that govern the Maker Program.
Keyport, Inc. (“Keyport”) operates the Maker Program subject to the following Terms & Conditions. The Keyport Modular Ecosystems, as referenced herein, include the Versa modular ecosystem (comprising Versa Interface Plates, compatibility specifications, and modular attachment standards), the Keyport modular key organizer ecosystem (comprising Pivot, Slide, and associated modules), the Anywhere Tools modular multi-tool ecosystem, and any future modular platform standards developed by Keyport (collectively, the “Keyport Modular Ecosystems”).
1. Platform Scope
This Program applies to all Keyport Modular Ecosystems, including but not limited to:
- Versa Interface Plates and the Versa modular ecosystem
- Keyport Pivot, Slide, and associated modular key organizer components
- Anywhere Tools modular multi-tool modules and components
- Patent-pending modular attachment systems
- Associated interface geometries, magnetic retention architectures, and compatibility specifications
- Any future modular platform standards developed by Keyport
Platform specifications, compatibility standards, and interface geometries may evolve over time at Keyport's sole discretion.
2. Proprietary Platform Status
The Keyport Modular Ecosystems are proprietary hardware platforms protected by patent-pending and other intellectual property rights.
The Program provides limited design compatibility templates only.
The Program does not:
- Grant open-source rights
- Grant manufacturing rights
- Permit independent production of proprietary interface components
- Transfer platform ownership or architectural control
Nothing in the Program grants any express or implied license under any Keyport patent, patent application, trade secret, or other intellectual property right, except as expressly stated herein.
Keyport retains exclusive authority over the manufacture of its interface plates, baseplates, modular key organizer components, multi-tool modules, and attachment standards across all Keyport Modular Ecosystems.
3. Ownership of Intellectual Property
All digital downloads, drawings, templates, specifications, geometries, interface definitions, and related materials remain the exclusive property of Keyport, Inc.
Participation does not transfer ownership of any Keyport intellectual property.
4. Anti-Circumvention and Reverse Engineering
Participants shall not reverse engineer, decompile, disassemble, or otherwise derive the specifications, tolerances, interface geometries, magnetic retention configurations, or dimensional standards of any Keyport Modular Ecosystem beyond what is expressly provided in the design compatibility templates.
Participants shall not develop, manufacture, or assist in the development or manufacture of hardware or specifications intended to replicate, substitute for, circumvent, or design around the proprietary interface systems of any Keyport Modular Ecosystem.
This prohibition applies to efforts to replicate proprietary interface components for commercial distribution or to enable third-party manufacturing of competing interface systems.
5. Independent Product Development & Roadmap Protection
Keyport maintains an active, confidential, and independently developed product roadmap.
Keyport may have developed, acquired, evaluated, or considered concepts similar to Maker submissions prior to or independent of participation in the Program.
Participation:
- Does not grant exclusivity or priority rights
- Does not establish ownership of product categories or concepts
- Does not create presumption of novelty relative to Keyport development
Similarity may occur due to parallel development, functional convergence, existing roadmap initiatives, or industry trends.
Keyport retains unrestricted rights to develop and commercialize products within its roadmap, regardless of similarity to Maker submissions.
By participating in the Maker Program, participants acknowledge Keyport's independent development rights and waive any claims of prior authorship, compensation, commercial entitlement, or other rights arising from similarity between their submissions or creations and Keyport's independently developed products or roadmap.
6. Personal Use License
Program materials are licensed solely for personal, non-commercial use. For purposes of this Program, "personal use" means the fabrication of no more than five (5) units per month of any single design, none of which may be sold, bartered, traded, or distributed for compensation of any kind. Any activity exceeding this threshold, or any sale or distribution for compensation at any scale, constitutes commercial use and requires participation in Keyport's separate commercial licensing program.
Participants may:
- Fabricate prototypes for personal use within the limits defined above
- Share independently created designs for non-commercial purposes, provided that all shared designs include the following notice in a prominent and legible location:
"This design is shared for personal, non-commercial use only. Commercial use, manufacturing for sale, or distribution for compensation requires a separate commercial license from Keyport, Inc. Learn more at mykeyport.com."
Failure to include this notice when sharing designs constitutes a material breach and may result in immediate termination from the Program and potential legal action.
- Publicly showcase personal creations with appropriate attribution to the applicable Keyport Modular Ecosystem
Participants may not:
- Manufacture or replicate Versa Interface Plates
- Manufacture or replicate Keyport Baseplates, Pivot components, Slide components, or Anywhere Tools modules
- Design, manufacture, distribute, or commercialize hardware intended to replicate, substitute for, or compete with Keyport's proprietary interface components across any Keyport Modular Ecosystem
- Commercially distribute products utilizing proprietary interface geometry
- Use Keyport or Versa branding for commercial promotion without written authorization
- Share design files or templates on platforms or in formats that do not include the required non-commercial use notice
All interface components across the Keyport Modular Ecosystems are manufactured exclusively by Keyport to preserve safety and platform standards.
7. Submission & Commercialization Framework
Submission of ideas does not constitute automatic transfer of commercial rights.
Keyport has no obligation to review, evaluate, respond to, retain, or pursue any submission.
If Keyport elects to commercialize a community-developed design, a separate written agreement will define licensing or compensation terms.
Makers who wish to commercialize their own designs within any Keyport Modular Ecosystem must enter into a separate commercial licensing agreement with Keyport. Information regarding commercial licensing is available at mykeyport.com or by contacting Keyport directly.
No commercial rights are implied absent a separate written agreement.
8. Evaluation License
By submitting materials for review, participants grant Keyport a non-exclusive, royalty-free, perpetual license to evaluate submissions internally and to share submissions with Keyport's authorized agents, contractors, manufacturing partners, and advisors for purposes of feasibility assessment, provided that such parties are bound by obligations of confidentiality no less protective than those set forth herein.
This evaluation license does not authorize commercial production without a separate written agreement.
9. Attribution & Representation
Participants may reference compatibility with a Keyport Modular Ecosystem when accurate and when the product meets current platform specifications.
Participants may not imply endorsement, certification, partnership, or authorization for sale without written approval.
Keyport reserves the sole and exclusive right to determine compatibility with its Modular Ecosystems. Keyport may require removal of any compatibility reference, claim, or representation for products that fail to meet current platform specifications or that Keyport determines do not meet its standards for safety, fit, or durability. Participants shall comply with any such request within ten (10) business days.
Keyport will provide written notice specifying the basis for the compatibility determination and the specific changes required.
10. No Partnership or Agency
Participation does not create partnership, joint venture, employment, or agency relationship.
11. Liability Disclaimer & Indemnification
All materials are provided "as is."
Participants assume all risk associated with the design, fabrication, use, display, distribution, or sharing of any product or design created using Maker Program materials.
Keyport shall not be liable for any direct, indirect, incidental, or consequential damages arising from participation.
Indemnification. Participants agree to indemnify, defend, and hold harmless Keyport, Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) the participant's designs, fabrication, or distribution of products created in connection with the Maker Program; (b) any third-party claims related to products incorporating the participant's designs; (c) any misrepresentation regarding Keyport endorsement, certification, or compatibility; or (d) any breach of these Terms & Conditions by the participant.
12. Confidential Information
For purposes of this Program, "Confidential Information" means any and all specifications, tolerances, dimensional data, interface geometries, magnetic retention configurations, technical data, design templates, compatibility standards, manufacturing processes, business information, and any other information provided to participants through the Maker Program that is not publicly available, regardless of whether such information is marked as confidential.
Confidential Information does not include information contained in publicly available design compatibility templates, but does include any unpublished specifications, tolerances beyond those necessary for compatibility, or manufacturing processes.
Participants shall not disclose, publish, or otherwise make available any Confidential Information to any third party without Keyport's prior written consent.
Participants shall use Confidential Information solely for purposes permitted under this Program.
This confidentiality obligation shall survive termination of participation in the Program and remain in effect for a period of five (5) years following the date on which the participant last accessed Confidential Information, or indefinitely with respect to trade secrets as defined under applicable law.
Participants acknowledge that unauthorized disclosure of Confidential Information may cause irreparable harm to Keyport for which monetary damages would be inadequate, and that Keyport shall be entitled to seek injunctive relief in addition to any other available remedies.
13. Termination of Access
Keyport reserves the right to suspend or terminate participation in the Program at its sole discretion, with or without cause.
Upon termination, participants shall cease all use of Maker Program materials and, upon request, destroy or return all Confidential Information in their possession.
14. Modification of Program & Terms
Keyport reserves the right, at its sole discretion, to modify, update, suspend, expand, or discontinue:
- The Maker Program
- Platform specifications across any Keyport Modular Ecosystem
- Compatibility standards
- Access to design files
- These Terms & Conditions
At any time, with or without notice.
Continued participation following any modification constitutes acceptance of the updated Terms.
Participants are responsible for reviewing the current version of the Terms before continued use of Program materials.
15. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of the State of Nevada.
Any disputes shall be resolved through binding arbitration in Las Vegas, Nevada in accordance with the rules of the American Arbitration Association.
16. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
17. Survival
The provisions relating to Proprietary Platform Status, Ownership of Intellectual Property, Anti-Circumvention and Reverse Engineering, Independent Product Development, Personal Use License restrictions, Submission & Commercialization Framework, Evaluation License, Liability Disclaimer & Indemnification, Confidential Information, Attribution & Representation, Dispute Resolution, and Modification shall survive termination of participation in the Program.
